Wah Sun Handbags International Holdings has dispatched its 2026 AGM circular detailing key resolutions to be tabled on 31 August 2026 in Hong Kong.
Dividend proposals • Board recommends a final dividend of HK 0.040 per share and a special dividend of HK 0.020 per share, totalling HK 0.060. • Shareholders on record as at 14 October 2026 will be entitled; books close 8–14 October 2026. • Subject to approval at the AGM, payment is scheduled for 30 October 2026.
Capital mandates • General issue mandate: Directors may allot and issue up to 81.73 million new shares, equal to 20% of the 408.63 million shares outstanding as at 8 July 2026 (Latest Practicable Date). • Repurchase mandate: Authority to buy back up to 40.86 million shares, or 10% of issued share capital. Repurchased shares may be cancelled or held as treasury stock; any subsequent sale or transfer of treasury shares would count against the issue mandate. • Extension mandate: The share issue limit may be increased by the amount of shares actually repurchased under the new buy-back authority.
AGM logistics • Register of Members closes 26–31 August 2026 for AGM attendance; record date is 31 August 2026. • Shareholders’ proxy forms must be lodged at Boardroom Share Registrars (HK) by 29 August 2026, 2:00 p.m.
Board changes & auditor reappointment • Re-election of Executive Directors Ma Hing Ming (CEO) and Ma Lan Chu, and Independent Non-Executive Director Ho Lai Chuen. • PricewaterhouseCoopers proposed for reappointment as auditor with an expected FY 2027 audit fee of HK 1.70–1.90 million.
Ownership snapshot • Controlling shareholder Wah Sun Holdings holds 301.14 million shares, representing 73.70% of issued capital; the five Ma family executive directors each own 20% of Wah Sun Holdings.
All resolutions require ordinary majorities. The circular notes that voting will be conducted by poll in accordance with Hong Kong listing regulations.
