Home Control International Limited will convene its annual general meeting at 09:30 on 12 June 2026, offering both an in-room session at 20/F, Lee Garden One, Causeway Bay, Hong Kong and an online option via a designated platform.

Key items on the agenda include:

• Special Resolution – Articles of Association Shareholders will vote on comprehensive amendments to the existing amended and restated Articles of Association. The updated version, tabled as the “New Articles,” aims to replace the current Articles in their entirety upon approval.

• Adoption of FY25 Results The meeting will consider and adopt the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditor’s reports.

• Board Composition Six directors—Mr. Kwok Hoong Siu, Mr. Haofang Yang, Ms. Ying Ma, Mr. Min Ye, Mr. Yi Chung Chen and Mr. Bernard Eng Chuan Lim—are standing for re-election. The board also seeks authority to set directors’ remuneration.

• Auditor Re-appointment PricewaterhouseCoopers LLP is nominated for re-appointment as external auditor, with the board authorised to fix its fee.

• Share Issuance and Repurchase Mandates 1. General mandate to allot and issue shares up to 20 % of issued share capital. 2. General mandate to repurchase shares up to 10 % of issued share capital. 3. Extension mandate allowing the issuance limit to be increased by the number of shares repurchased under the buy-back mandate, capped at an additional 10 %.

• Dividend Proposal The board recommends a final dividend of US0.66 cents per ordinary share for FY25, subject to shareholder approval.

The share register will close from 8 June 2026 to 12 June 2026 (both days inclusive) for AGM eligibility. All resolutions will be decided by poll and results published on the HKEX and company websites.
