Tianyu Semi Repurchases 40,350 H Shares for HK$2.00 Million; Treasury Holdings Now 0.53% of Issued Stock

Guangdong Tianyu Semiconductor Co., Ltd. (Tianyu Semi) disclosed a share buyback completed on 2 October 2026 under its Hong Kong Stock Exchange mandate.

The company repurchased 40,350 H shares on-market at prices ranging between HK$48.70 and HK$50.40, translating into a volume-weighted average cost of HK$49.50 per share. The transaction totalled HK$2.00 million.

Following the repurchase, Tianyu Semi’s issued share capital (excluding treasury shares) fell by 0.07% to 58.68 million shares. Treasury stock increased to 310,050 shares, representing 0.53% of the company’s outstanding shares, while the total number of issued shares remained unchanged at 58.99 million.

The buyback was executed under the repurchase mandate approved on 19 May 2026, which authorises the company to repurchase up to 5.90 million shares. Cumulative repurchases under this mandate now stand at 310,050 shares, leaving capacity for a further 5.59 million shares. In line with Hong Kong listing rules, Tianyu Semi is subject to a moratorium on issuing new shares or selling treasury shares until 1 November 2026.

Joint Company Secretary Li Zhuoxing confirmed that all repurchases were conducted in accordance with Main Board Rule 10.06 and that no material changes have occurred to the previously filed explanatory statement.
