C-MER Medical Holdings Limited has issued a notice convening its annual general meeting (AGM) for 20 May 2026 at 5:00 p.m. in Central, Hong Kong.

Key agenda items:

1. Financial statements • Shareholders will be asked to receive and consider the audited consolidated results for the year ended 31 December 2025 together with the reports of the directors and auditor PricewaterhouseCoopers.

2. Dividend distribution • Final dividend: HK2.0 cents per share. • Special dividend: HK1.0 cent per share. • The register of members will be closed from 2 July 2026 to 6 July 2026; shares must be lodged for registration by 4:30 p.m. on 30 June 2026 to qualify for the dividends.

Share mandates • Share repurchase mandate: authority to buy back up to 10% of issued shares during the mandate period. • Issuance mandate: authority to allot, issue or otherwise deal with shares up to 20% of issued share capital. • Extension mandate: the issuance limit can be increased by the number of shares repurchased, capped at an additional 10%.
