Qingci Games Inc. reported that every item on the agenda of its 9 June 2026 Annual General Meeting (AGM) was passed by poll with virtually unanimous backing, cementing shareholder confidence in the company’s governance framework and board composition.
The Hong Kong branch registrar, Computershare Hong Kong Investor Services Limited, acted as scrutineer. A total of 523.79 million votes were cast for most resolutions, with only five votes against each of them, translating into a 99.999999 percent approval rate.
Key resolutions adopted: • Financials and Reports: Shareholders adopted the audited consolidated financial statements and directors’ and auditors’ reports for the year ended 31 December 2025. • Board Composition: Executive directors Mr. Yang Xu and Mr. Huang Zhiqiang were re-elected, as was independent non-executive director Ms. Fang Weijin. The board was authorised to set directors’ remuneration. • Auditor: BDO Limited was re-appointed, with the board authorised to fix its remuneration. • Share Mandates: General mandates to issue and repurchase ordinary shares, and an extension of the issue mandate, were granted. • Governance Update: A special resolution to adopt a new Memorandum and Articles of Association secured 99.999999 percent support, surpassing the 75 percent threshold.
Attendance and Voting Base: All seven directors attended the meeting. The company had 691.33 million issued shares on the AGM date, none of which were treasury shares. There were no voting restrictions or required abstentions, and no shareholder signalled an intention to oppose any resolution in advance.
