FSE Lifestyle Services Limited (豐盛生活服務有限公司) has released details of its new Share Option Scheme, with a valid period of ten years from the adoption date. The scheme is designed to incentivize and reward eligible participants for their contribution to the Group’s long-term development and financial performance.

Under the plan, company employees, executive directors, non-executive directors, independent non-executive directors, and related entity participants may be granted options. The overall number of shares available for subscription is subject to a 10% limit of the total shares in issue, as approved at the time of adoption or refreshment. Any adjustments to the scheme’s terms must comply with the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

The subscription price for any option is set at the higher of: the closing price on the offer date, the average closing price for the five business days prior to the offer date, or the nominal value of the share. A typical minimum vesting period of 12 months applies, though shorter periods are permitted in specific cases, such as performance-based grants or promotional hires. The scheme also includes performance targets and a clawback mechanism to address issues such as material misstatements in financial statements or serious misconduct. If an employee ceases employment under certain conditions, the unexercised options may lapse.

The scheme requires that all prospective participants comply with relevant laws and regulations before exercising any granted options, and no further options will be offered upon termination of the scheme. However, any unexercised options granted prior to termination will remain valid under the specified terms.
