Numans delays FY2025 results; annual report at risk, trading halt from 1 Apr 2026

Numans Health Food Holdings Company Limited (Numans) announced a deferral in publishing its audited results for the year ended 31 December 2025, citing the need for additional time for its new auditor, Forvis Mazars, to complete the engagement. Under Hong Kong Listing Rule 13.49(1), the preliminary annual results were required by 31 March 2026; Numans now targets release on or before 30 April 2026.

The delay follows the resignation of previous auditor Crowe, which sought a fee increase after judging that the audit workload had exceeded initial estimates. Numans’ Audit Committee rejected the higher fee, selected Forvis Mazars—auditor for FY2024 and the 1H 2025 agreed-upon procedures review—and implemented a weekly progress-monitoring regime. As of 31 March 2026, the new audit is reported to be on schedule with no material issues identified.

Because the results announcement is late, the Stock Exchange will suspend trading in Numans’ shares from 9:00 a.m. on 1 April 2026 pursuant to Listing Rule 13.50. The company also warned that its FY2025 annual report, due by 30 April 2026 under Rule 13.46(2), may be delayed; an updated dispatch date will be provided when available.

To prevent recurrence, Numans is strengthening internal controls: formal contingency planning for finance staff, earlier audit preparation starting October 2026, proactive engagement with auditors, and enhanced board-level oversight of key finance personnel changes.

The board characterises the 2025 audit delay as a one-off incident but advises shareholders and potential investors to exercise caution when dealing in the company’s shares.
