Huadian Power International Corporation Limited will convene its annual general meeting (AGM) for the financial year ended 31 December 2025 on Thursday, 28 May 2026, at 2:00 p.m. at the Garden Hotel Suzhou, Jiangsu Province. Shareholders—whether holding A shares or H shares—may appoint a proxy and must submit the completed form at least 24 hours before the meeting.
Key resolutions to be tabled include:
1. Operating and Profit Agenda • Board Report: Review of operating performance for FY 2025. • Profit Distribution Proposal: Shareholders will determine the 2025 dividend plan. • Independent Directors’ Performance Report: Assessment of FY 2025 duties.
2. Capital Management • General Mandate: A special resolution seeks authority for the Board to allot, issue and deal with additional shares. • Financial Financing Instruments: A special resolution proposes authorising the Company to issue financing instruments to broaden funding channels.
3. Audit and Remuneration • Auditor Appointment: ShineWing Certified Public Accountants (Special General Partnership) is proposed as both financial report auditor and internal-control auditor for FY 2026; management is authorised to negotiate fee adjustments in line with asset growth and workload. • Remuneration Management Rules: A new framework governing pay for directors and senior management will be put to vote.
4. Board Composition • Directors (seven candidates): Liu Lei, Li Quancheng, Zhu Peng, Zeng Qinghua, Cao Min, Lin Lin and Li Guoming. • Independent Non-Executive Directors (four candidates): Wang Yuesheng, Shen Ling, Huang Kemeng and Su Min. All director elections adopt a cumulative voting system, under which each share carries votes equal to the number of board seats up for election.
Two forms of resolutions are scheduled: ordinary resolutions covering operating, audit and remuneration matters, and special resolutions for share-issuance mandates and financing instruments. Shareholders or their duly appointed proxies must present identification and signed proxy forms when attending the AGM.
