On 7 November 2025, ZO Future Group (the “Group”) announced the disposal of a non-wholly-owned subsidiary. According to Rule 14.41(a) of the Listing Rules, a circular containing details of the disposal and general information about the Group was to be despatched no later than 28 November 2025. However, ZO Future Group required additional time to finalize certain information, including its working capital statement and statement of indebtedness.

On 27 November 2025, the Stock Exchange granted a waiver allowing the Group to postpone the despatch of the circular until on or before 23 January 2026. This waiver remains subject to possible change or withdrawal by the Stock Exchange should ZO Future Group’s circumstances change.
