MOMENTUM FIN (01152) announced that on January 15, 2026, the company received a conversion notice from Ms. Xiao Yongzhen (Ms. Xiao). She exercised her right to convert convertible bonds with a total principal amount of HK$6.5 million into 89.0411 million conversion shares at a conversion price of HK$0.073 per share. The HK$6.5 million principal amount of convertible bonds held by Ms. Xiao were transferred from Ms. Tian on January 12, 2026. To the best of the directors' knowledge, information, and belief, after making all reasonable inquiries, Ms. Xiao was an independent third party, not connected to the company, its connected persons, or its creditors, both on the date of the bond transfer and the date of this announcement. Following the exercise of the conversion rights attached to the aforementioned convertible bonds, the company will allot and issue 89.0411 million conversion shares to the subscriber under a specific mandate. The conversion shares will rank equally in all respects with all existing issued shares on the date of allotment and among themselves. Immediately after the allotment and issuance of the conversion shares, the total number of the company's issued shares will increase by 89.0411 million shares to 2.165 billion shares. The 89.0411 million conversion shares represent approximately 4.29% of the company's existing issued share capital immediately before the conversion; and approximately 4.11% of the company's issued share capital as enlarged by the allotment and issuance of the 89.0411 million conversion shares.
