GC Construction Holdings Limited (stock code: 1489) and Jumbo Flags Capital Limited jointly announced the close of a mandatory unconditional cash offer at 4:00 p.m. on 28 November 2025. The offer, which was not revised or extended, resulted in valid acceptances for a total of 80,000 shares, representing approximately 0.008% of the company’s issued share capital. At an offer price of HK$0.1812 per share, the total cash consideration payable amounts to HK$14,496.

Settlement is scheduled to be completed within seven business days following receipt of all requisite documents, and the final remittance date for valid acceptances is no later than 9 December 2025.

As a result of the offer, Jumbo Flags Capital Limited and its concert parties now hold 728,960,000 shares (72.90% of GC Construction Holdings Limited’s issued share capital). The company’s public float continues to meet the 25% minimum requirement under the Listing Rules, with 270,370,000 shares (27.03%) remaining in public hands.
