Wai Chi Holdings Company Limited (Wai Chi Holdings) has disclosed a share repurchase transaction executed on 10 June 2026, according to its Next Day Disclosure Return filed with the Hong Kong Stock Exchange on 11 June 2026. Key details are as follows:

• Transaction scale and price: The company bought back 30,000 ordinary shares on-market at a unit price of HKD 0.70. The filing lists the aggregate amount paid for the shares as HKD 0.7. All repurchased shares are being kept as treasury stock; none have been cancelled.

• Capital structure impact: The repurchase trimmed Wai Chi Holdings’ issued share capital (excluding treasury shares) from 219.67 million to 219.64 million shares, a reduction of 0.0137%. Treasury shares rose from 55,000 to 85,000, while total issued shares remained unchanged at 219.73 million.

• Repurchase mandate utilisation: The buyback forms part of the mandate approved on 27 May 2026, which authorises the company to repurchase up to 21.97 million shares. Including the latest transaction, Wai Chi Holdings has repurchased 85,000 shares under this mandate—0.3868% of the shares outstanding on the approval date.

• Post-repurchase restrictions: In line with Hong Kong listing rules, Wai Chi Holdings is subject to a moratorium on issuing new shares or disposing of treasury shares until 10 July 2026.

The company confirmed that the transaction complied with the Main Board Listing Rules and that no material changes have occurred to the previously filed explanatory statement dated 21 April 2026.
