Saint Bella trims share float by 0.06% after HK$1.19 million buy-back, treasury stock rises to 1.15 million shares

SAINT BELLA GROUP LIMITED disclosed a share repurchase on 17 July 2026 that reduced its outstanding ordinary shares and increased treasury stock.

• Transaction overview: 371,000 shares were bought back on the Hong Kong Stock Exchange at prices ranging from HK$3.12 to HK$3.34, costing HK$1.19 million in aggregate. The volume-weighted average price was HK$3.2194 per share.

• Capital structure impact: – Issued shares (excluding treasury stock) fell 0.06% to 621.05 million from 621.42 million. – Treasury shares expanded to 1.15 million, up from 0.78 million. – Total issued shares, including treasury stock, remained unchanged at 622.20 million.

• Mandate utilisation: – The buy-back forms part of the authority granted on 30 June 2026 to repurchase up to 62.22 million shares. – Cumulative repurchases under this mandate now stand at 1.15 million shares, equivalent to 0.18% of the issued share base on the authorisation date.

• Post-repurchase restrictions: Saint Bella is subject to a moratorium on new share issues or treasury-share disposals until 16 August 2026, in line with Hong Kong listing rules.

The company affirmed that the transaction complied with Main Board Rule 10.06 and that no material changes have occurred to the explanatory statement filed on 26 May 2026.
