Liaoning Port Co. Falls Short of Minimum Public Float Requirement

Liaoning Port Co.,Ltd. (HKG: 02880)

The company has announced that as of the date of this announcement, the market value of its H shares held by the public and listed on The Stock Exchange of Hong Kong is approximately HK$775 million.

These H shares represent about 3.67% of the total issued shares of that class, excluding treasury shares.

This figure remains below the minimum public float requirement stipulated under Rule 19A.28B(2) of the Listing Rules.

Steps Being Taken

The company stated it is actively exploring feasible solutions to comply with the requirement as soon as practicable.

While continuing to assess the current viability of previously considered options, it is also constantly exploring new potential avenues.

Specifically, the measures undertaken include, but are not limited to, ongoing communication with its major H-shareholders, namely Qunli International Limited, Broadford International Limited, and Dalian Port Group Co., Ltd.

Discussions with these shareholders cover capital market conditions, the company's share price performance, and market practices.

The company is also engaging with professional advisors such as securities firms and legal counsel to discuss matters including capital market conditions and the relevant domestic and international laws, regulations, and policies concerning share issuance or buy-back and cancellation.
