Keep Cuts Outstanding Float by 3.35 Million Shares in June; Option Cancellations Continue

Keep Inc. (Keep) disclosed in its Monthly Return for June 2026 that the company intensified share buy-backs and continued rationalising legacy incentive plans, resulting in a smaller free-float base while maintaining compliance with Hong Kong’s 25 % public-float requirement. Key take-aways follow:

Issued vs. Treasury Shares • Outstanding shares (excluding treasury) fell by 3.35 million to 499.73 million at end-June, entirely due to on-market repurchases. • Treasury shares rose by the same 3.35 million to 10.55 million, keeping total issued shares constant at 510.28 million. • All repurchased shares were booked as treasury stock; Keep confirmed that the post-transaction public float still meets the 25 % minimum threshold.

Buy-back Activity • During the month the company repurchased 3.35 million shares, comprising: – 0.66 million shares on 25 June 2025 (held as treasury) – 2.69 million shares on 4 June 2026 (held as treasury) – 3.52 million shares between 6 Jan 2026 and 15 Apr 2026 earmarked for cancellation but not yet cancelled • These transactions align with Keep’s ongoing capital-management programme that has now accumulated 4.52 million shares pending cancellation (1.20 million bought in January, 0.72 million in March and 1.60 million in April).

Employee Equity Incentives • Pre-IPO option schemes: – 2016 Plan: 80,000 options cancelled; 9.08 million remain outstanding. – 2021 Plan: 110,000 options cancelled; 2.02 million remain outstanding. – No new shares were issued from either plan in June. • Post-IPO Share Incentive Plan: 73,300 restricted share units (RSUs) vested; 55,800 lapsed. The plan still allows up to 30.35 million shares for future settlement via existing treasury shares or new issuance.

Liquidity Impact • No proceeds were raised from option exercises in June, as no new shares were issued. • Treasury share balance now represents 2.07 % of total issued shares, up from 1.41 % at the end of May.

Governance and Compliance • Keep’s board reconfirmed compliance with Main Board Rule 13.32D, affirming sufficient public float after the June transactions.

With buy-backs accelerating and option overhang diminishing, Keep continues to tighten its free-float while preserving flexibility for future incentive grants.
