MetaOptics Ltd. announced that, at an Extraordinary General Meeting held on Apr, 10 2026, shareholders approved all six resolutions tabled, including amendments to the company’s Memorandum and Articles of Association and a series of corporate actions tied to its planned Nasdaq listing.
Special Resolution 1, which adopts the revised constitutional documents, received 100.00% support from the 95.7 million votes cast.
Two inter-conditional Ordinary Resolutions cleared the way for the planned U.S. listing: • Ordinary Resolution 1 authorised the issue of up to 121.3 million new ordinary shares, at a discount greater than 10% to the prevailing SGX market price, to underpin the American Depositary Share offering. The measure passed with 94.48% of votes in favour. • Ordinary Resolution 2 approved the issuance of representative warrants—and any resulting shares—also potentially at a discount of more than 10%, winning 100.00% support.
Shareholders further endorsed three incentive-plan resolutions. Ordinary Resolution 3 adopted the MetaOptics Employee Share Option Scheme 2026, while Ordinary Resolution 4 allowed options to be granted at discounts of up to 20% to market price. Both resolutions passed with more than 99% approval. Ordinary Resolution 5 established the MetaOptics Performance Share Plan 2026, securing 99.78% support.
