ENN Energy: Morgan Stanley Discloses US$12.76 Million Net Derivative Purchases Ahead of Planned Privatisation

Hong Kong, 4 June 2026—Morgan Stanley & Co. International plc, classified as a Class (5) associate of the offeror in the proposed privatisation of ENN Energy Holdings Limited (ENN Energy) by way of a scheme of arrangement, has filed its Rule 22 Public Disclosure Form with the Securities and Futures Commission.

The investment bank executed a series of unsolicited client-facilitation trades on 3 June 2026 involving cash-settled derivatives referencing ENN Energy shares:

1. Purchases • Eleven derivative purchases were completed, covering an aggregate 239,400 reference securities. • Consideration for these purchases totalled approximately US$12.76 million, at reference prices ranging from US$52.90 to US$53.59 per share. • Maturities of the instruments span from 30 October 2026 to 15 May 2028.

2. Sales • Three derivative sales were executed, involving 1,700 reference securities. • Gross proceeds from the sales reached about US$0.09 million, with reference prices between US$53.34 and US$53.62 per share. • The latest maturity date among the sold positions is 3 February 2031.

3. Net position • Resulting from the day’s activity, Morgan Stanley recorded a net purchase of 237,700 reference securities, corresponding to a net cash outflow of roughly US$12.67 million. • The disclosure notes a resultant position of zero, indicating that the transactions were executed strictly for client-facilitation purposes on Morgan Stanley’s own account, without leaving a residual proprietary position.

The filing forms part of the ongoing disclosure obligations linked to ENN Energy’s proposed privatisation via scheme of arrangement, ensuring market transparency during the offer period.
