Weiye Holdings Releases AGM Proxy; Agenda Includes Director Re-elections, 20% Issuance Mandate and Proposed Name Change

Weiye Holdings has circulated a proxy form for its annual general meeting scheduled for 10:00 a.m. on 29 May 2026 at Room 22B, 21/F, Cityplaza Three, Quarry Bay, Hong Kong. Shareholders are invited to vote by poll on nine ordinary resolutions and one special resolution.

Key items on the agenda are:

1. Adoption of the audited financial statements and directors’ statement for the financial year ended 31 December 2025, together with the independent auditor’s report.

2. Approval of quarterly, in-arrears remuneration for the board of directors for the year ending 31 December 2026.

3. Re-election of executive director Yang Binbin and independent non-executive directors Dong Xincheng and Liu Ning.

4. Re-appointment of D & Partners CPA Limited as external auditor and authorisation for the board to set its fees.

5. Granting of a general mandate authorising the board to: • issue and deal with additional shares representing up to 20% of the company’s issued share capital; • repurchase shares representing up to 10% of issued share capital; and • extend the issuance mandate by adding the shares repurchased under the buy-back mandate.

6. Special resolution to change the company’s English name from “Weiye Holdings Limited” to “DJSH International Holdings Limited.”

Shareholders who wish to appoint a proxy must return the completed form to Tricor Investor Services Limited no later than 48 hours before the meeting. All resolutions will be decided by poll, with each fully paid share carrying one vote.
