AMASSE CAPITAL (08168) has announced the dismissal of Mr. Xie Lei from his position as an executive director, effective September 5, 2026.
The removal was executed pursuant to Article 105(h) of the company's fifth amended and restated articles of association, following a written notice dated September 6, 2026, signed by all other directors and served to Mr. Xie. The notice also stipulates that Mr. Xie has been removed from his roles as Chief Executive Officer and as a director of the company's subsidiaries.
The dismissal stems from Mr. Xie's breach of fiduciary duties concerning several matters: (i) attempting to freeze multiple bank accounts of the group without board authorization; (ii) causing the group to enter into a lease agreement for establishing a branch office in Beijing Zhengda Center without board authorization; (iii) failing to provide a valid business plan and financial statements for the proposed branch establishment; (iv) allegedly failing to comply with relevant regulations when selling certain equity interests in one of the company's subsidiaries to his secretary; and (v) the alleged misappropriation of group funds involving his son, Mr. Xie Xudong.
