China General Education Group Limited (stock short name: CH GENERAL EDU) has announced a proposal to change its corporate identity. The Board intends to rename the company “Trillion Holding Group Limited” and adopt “万艺控股集团有限公司” as its secondary Chinese name, replacing “中國通才教育集團有限公司”.
The change is subject to two conditions: 1. Approval of a special resolution at an extraordinary general meeting (EGM); and 2. Registration of the new name with the Cayman Islands Registrar of Companies.
Once these conditions are met, the new name will take effect upon entry in the Cayman Islands register. Subsequent filings will be made with Hong Kong’s Companies Registry. The stock code 2175 will remain unchanged, although new English and Chinese stock short names will be adopted after the effective date, pending confirmation by the Hong Kong Stock Exchange.
Operational and shareholder impacts are expected to be minimal: • Existing share certificates will remain valid as legal proof of ownership. • No free exchange of existing certificates for new ones is planned. • Day-to-day business operations and the Group’s financial position will not be affected.
A circular detailing the proposal and the EGM notice will be dispatched in due course. The company will issue further announcements on the EGM results, the effective date of the name change and the updated stock short names.
