Flowing Cloud Technology Ltd (Stock Code: 6610) announced that, effective 9 February 2026, Ms. Chen Yuelin has resigned as an independent non-executive director. Ms. Chen also stepped down as chairlady of the Audit Committee, and as a member of the Remuneration Committee and the Nomination Committee, citing the need to devote more time to other personal and career engagements.

Meanwhile, Ms. Li Yue has been appointed as an independent non-executive director, in addition to becoming chairlady of the Audit Committee, and a member of both the Remuneration Committee and the Nomination Committee. Ms. Li, aged 54, has more than 30 years of financial management experience and previously served as a board member at Taxing Peace (Beijing) Enterprise Tax Services Co., Ltd. and as a business department manager at CITIC Leyitong Business Technology Co., Ltd. She holds a bachelor’s degree in Business Administration from Changchun University of Technology and has been recognized as an intermediate accountant by the Ministry of Human Resources and Social Security of the People’s Republic of China since May 2007.

Ms. Li signed a three-year appointment and will receive an annual Director’s remuneration of RMB72,000. Her appointment is subject to retirement by rotation and re-election at the next annual general meeting, in accordance with applicable regulations. The Company confirmed that Ms. Li meets the independence criteria outlined in Hong Kong listing rules, has no connection with any core connected persons of the Company, and holds no shares in the Company. The Board expressed gratitude to Ms. Chen for her contributions and extended a welcome to Ms. Li in her new role.
