CLOUD FACTORY (02512) has issued an announcement stating that its board of directors received notice from Ru Yi Information Technology Co., LTD (Ru Yi IT, one of the company's controlling shareholders). On December 19, 2025, Ru Yi IT transferred 151,795,500 shares of the company (representing 31.7% of the total issued shares, excluding treasury shares) to Keen Try No.2 Limited (the "Share Transfer") for the purpose of Keen Try No.2 Limited issuing 99 of its issued shares to Keen Try No.1 Limited.

The company was informed that both Keen Try No.1 Limited and Keen Try No.2 Limited are limited companies incorporated in the British Virgin Islands, established to facilitate the creation of a trust. All issued shares of Keen Try No.1 Limited are held by Tricor Equity Trustee Limited (the "Trustee"), acting as the trustee of a discretionary trust established by Mr. Sun Tao (Mr. Sun), the Chairman of the Board, CEO, an executive director, and one of the controlling shareholders of the company.

The company was further informed that the Trustee will not have any investment or asset management functions, responsibilities, powers, or duties regarding the trust, as these remain solely with Mr. Sun.

Prior to the completion of the Share Transfer, Ru Yi IT held 329,703,000 shares, representing 68.8% of the company's total issued shares (excluding treasury shares), and Keen Try No.2 Limited was wholly owned by Ru Yi IT. Following the Share Transfer, Ru Yi IT holds 177,907,500 shares (37.1% of total issued shares), while Keen Try No.2 Limited holds 151,795,500 shares (31.7% of total issued shares). Additionally, 99.0% of Keen Try No.2 Limited's issued shares are owned by Keen Try No.1 Limited, with the remaining 1.0% held by Ru Yi IT.

As the establishment of the trust is solely for Mr. Sun's family wealth planning purposes, and Mr. Sun retains control over the trust, the board believes the Share Transfer will have no impact on the company's financial condition, operations, or board composition.
