China Wood Int’s Rights Issue Cleared with 99.99% Support; Shares to Trade Ex-Rights on 5 Aug 2026

China Wood International Holding Co., Limited (China Wood Int) secured overwhelming shareholder backing for its proposed rights issue at the extraordinary general meeting (EGM) on 3 August 2026.

• Poll outcome Independent shareholders cast 133.84 million votes (99.99%) in favour of the ordinary resolution authorising the rights issue, with only 450 votes against. The resolution therefore passed comfortably above the 50% threshold.

• Voting base and abstentions – Total shares in issue: 986.90 million. – Shares eligible to vote: 534.70 million, after Right Momentum (the 45.82% controlling shareholder wholly owned by Chairman and CEO Lyu NingJiang) and its associates abstained, in line with Listing Rule 7.27A.

• Key dates – Last day of cum-rights trading: Tuesday, 4 August 2026. – Ex-rights trading commences: Wednesday, 5 August 2026. – Prospectus documents to be dispatched: Friday, 14 August 2026, subject to registration with the Hong Kong Companies Registry.

• Execution mechanics and risk reminders The rights issue will proceed on a non-underwritten basis once the Stock Exchange grants listing approval for the nil-paid and fully-paid rights shares. Should the offer be undersubscribed, the size of the capital raise will be reduced accordingly, leading to potential dilution for shareholders who do not take up their entitlements. Investors dealing in the shares or the nil-paid rights shares before satisfaction of all conditions bear the risk that the transaction may not complete.

The board reiterates caution to shareholders and prospective investors when trading in the company’s securities during the rights issue process.
