ESTUN AUTOMATION CO., LTD (ESTUN) disclosed that controlling shareholder Nanjing Primest Technology Co., Ltd. pledged 13.50 million A shares—equivalent to 1.39% of ESTUN’s total issued shares—to China CITIC Bank Corporation Limited Nanjing Branch on 8 May 2026 to secure a bona fide commercial loan.

Following the transaction, Nanjing Primest holds 254.89 million ESTUN shares (26.34% of the company’s outstanding share capital) and has a cumulative 24.50 million A shares under pledge, representing 2.53% of total issued shares.

ESTUN’s board noted that Nanjing Primest currently maintains sound credit standing and adequate repayment capacity, with no imminent risk of forced disposal of the pledged shares. The share pledge falls outside the scope of Hong Kong Listing Rule 13.17, and any future changes to the pledge position will be disclosed in accordance with applicable regulations.
