CHALCO (02600) announced that on December 30, 2025, its wholly-owned subsidiary, CHALCO Logistics Group Co., Ltd., plans to acquire a 51% equity stake in Yunnan Yunlv Logistics Investment Co., Ltd. from Yunnan Aluminum Co., Ltd. via a non-public agreement for a cash consideration of approximately 264 million yuan. The transaction, approved by the company's ninth board of directors at its eighth meeting, will be finalized based on the ultimately filed and assessed value. Following the completion of the acquisition, CHALCO Logistics and Yunnan Aluminum will hold 51% and 49% stakes in Yunlv Logistics, respectively, with Yunlv Logistics to be consolidated into CHALCO Logistics' financial statements. As of the announcement date, Aluminum Corporation of China Limited is the controlling shareholder of CHALCO, while Yunnan Aluminum is a 30% controlled subsidiary of CHINALCO, and Yunlv Logistics is a wholly-owned subsidiary of Yunnan Aluminum.
