Haitian Flavouring Receives HKEX Waiver, Confirms New Joint Company Secretary and Compliance Roles

Foshan Haitian Flavouring and Food Company Ltd. (Haitian Flavouring) announced that the Hong Kong Stock Exchange (HKEX) granted the company a waiver on 1 September 2026, permitting the formal appointment of Mr. Chiu Ming King as Joint Company Secretary, Authorised Representative and Process Agent. The waiver covers the remaining period from 1 September 2026 through 18 June 2028 and requires Mr. Chiu to assist existing Joint Company Secretary Ms. Ke Ying in discharging her duties during this timeframe.

Under the waiver terms: 1. Ms. Ke must work alongside Mr. Chiu throughout the waiver period to enhance her practical experience under HKEX Listing Rule 3.28. 2. HKEX may revoke the waiver if Haitian Flavouring materially breaches any Listing Rules. 3. Before the waiver expires, the company must demonstrate that Ms. Ke is fully capable of fulfilling company-secretary duties without further exemptions.

Ms. Ke has held multiple senior governance and compliance roles within the group since 2008, including Director positions across the office, talent development, public relations, marketing human resources and legal centres. Mr. Chiu replaces Ms. Zhang Xiao, who previously held the joint secretary and compliance roles.

The board composition remains unchanged with six executive directors—Cheng Xue, Guan Jianghua, Huang Wenbiao, Wen Zhizhou, Liao Changhui and Dai Wen—and three independent non-executive directors—Zhang Kechun, Qu Wenzhou and Ding Bangqing.
