ISP Holdings Limited announced on 31 August 2026 that its five-member board remains all-male, leaving the company in breach of Hong Kong Listing Rule 13.92(2), which prohibits single-gender boards, and Corporate Governance Code provision B.3.5, which requires at least one director of a different gender on the nomination committee.
The company attributes the delay to stringent qualification criteria, a limited pool of experienced female professionals in its industry and intensified market competition for such talent. Despite these hurdles, the board reiterated its commitment to the firm’s Board Diversity Policy, which seeks a balanced mix of skills, experience and perspectives.
ISP Holdings has set a new deadline to appoint a female director by the end of November 2026 and pledged to “use its best endeavours” to meet the regulatory requirements. Further announcements will be issued once a suitable candidate is secured.
As of the announcement date, the board comprises Executive Director and Chairman Kingston Chu Chun Ho, Non-Executive Director Lam Chun Kit, and Independent Non-Executive Directors Lau Man Tak, Eric Lee Hon Man and To Chun Wai. The company will continue its search to achieve compliant gender diversity on both the board and its nomination committee.
