Scholar Edu acquires 142,000 shares for award scheme, raising trust holding to 1.27%

Scholar Education Group disclosed that the trustee of its Share Award Scheme bought 142,000 shares on-market on 17 April 2026. The transaction, executed at an average price of HK$1.63 per share, involved total consideration of approximately HK$0.23 million and represents about 0.021% of the company’s issued share capital.

Following the purchase, the trustee’s cumulative holding under the scheme increased to 8.56 million shares, equivalent to 1.27% of total shares outstanding. According to the board, the current market valuation does not reflect the company’s intrinsic value, presenting an attractive opportunity to accumulate shares for future awards to selected participants.

Management indicated that share acquisitions for the scheme will continue to be assessed in line with market conditions, and the board will determine future grants and vesting arrangements at its discretion.

The voluntary update was approved by Chairman and Executive Director Chen Qiyuan and published in Hong Kong on 17 April 2026.
