Ferretti S.p.A. (09638) has announced a change in its joint company secretary role, effective October 31, 2025. Ms. Zhang Xiaomei replaces Mr. Hao Qinggui, while Ms. Wong Hoi Ting continues as the other joint company secretary.

According to the announcement, Ms. Zhang has significant experience in legal and corporate compliance through her longstanding career at Weichai Power. She served in various positions within Weichai Power’s legal and compliance department, as well as a legal consultant and board secretary at Weichai America, and has been involved in mergers and acquisitions in the maritime industry. She has also been the general counsel of Ferretti S.p.A., alternate authorized representative, secretary of the board, and head of the board office since August 2025.

Because Ms. Zhang does not currently hold the qualifications stipulated under Rule 3.28 of the Listing Rules, Ferretti S.p.A. has received a three-year waiver from strict compliance, granted by The Stock Exchange of Hong Kong Limited. Under this arrangement, Ms. Zhang will receive ongoing support from Ms. Wong, who meets the relevant professional requirements, ensuring that the company’s corporate governance obligations continue to be fulfilled. Before the end of this three-year period, Ferretti S.p.A. must demonstrate Ms. Zhang’s capability to meet the relevant qualifications independently.

The board expressed its gratitude to Mr. Hao for his past contributions and welcomed Ms. Zhang to her new position.
