Vanov Holdings Company Limited announced that Independent Non-Executive Director (INED) Mr. Zhang Shenjin will resign on 30 April 2026 to focus on other business commitments. Concurrently, Mr. Zhang will step down from the Audit Committee and Remuneration Committee.

Professor Mr. Jiang Chaozhe, aged 57, will join the Board as an INED on the same date. Mr. Jiang brings extensive academic and industry experience, including professorship and doctoral supervision at Southwest Jiaotong University since 2009 and prior research roles at the University of Waterloo and ASTATECH in Canada. He holds a PhD in Management Science and Engineering, an MBA (both from Southwest Jiaotong University), and an MSc in Civil Engineering (Transportation) from the University of Waterloo.

Compensation for Mr. Jiang is set at RMB10,000 per month, subject to annual review. He has signed a three-year service contract with a three-month notice period for termination and will stand for re-election at the next shareholders’ meeting. Mr. Jiang meets the independence requirements under Rule 3.13 of the HKEX Listing Rules and has no shareholding or related-party connections with the company.

Board Committee changes effective 30 April 2026: 1. Audit Committee – Mr. Jiang replaces Mr. Zhang as a member. 2. Remuneration Committee – Mr. Jiang replaces Mr. Zhang as a member.

Following these changes, the Board will comprise four Executive Directors (Ms. Shen Genlian, Mr. Zhou Jun, Mr. Xie Zongguo, Ms. Yuan Aomei) and three INEDs (Mr. Ip Wang Hoi, Mr. Jiang Chaozhe, Mr. Wang Yunchen).
