China Resources Building Materials Technology Holdings Limited (stock code: 1313) announced new Engineered Stone Supply Agreements with China Resources Land Limited (stock code: 1109) for the supply of engineered stones and related processing. These transactions take effect after the Construction Materials Framework Agreement expires on 31 December 2025.

According to the announcement, the proposed annual aggregate caps for each of the two years ending 31 December 2026 and 31 December 2027 are set at RMB50 million (exclusive of tax). The transactions involve Shenzhen Runfeng New Materials Technology Company Limited entering into agreements with China Resources Material And Equipment E-Commerce Co., Ltd., a wholly owned subsidiary of China Resources Land, covering both existing and prospective projects.

The relevant prices are determined through arm’s length negotiations, factoring in aspects such as market price, scale of procurement, product specifications, and payment terms. The payment schedule stipulates that 80% of the amount is due upon delivery and the remaining balance upon acceptance of the project. The company reports that the annual caps remain subject to reporting, announcement, and annual review requirements with no need for independent shareholders’ approval, in line with applicable listing rules.

The announcement also discloses that the historical transaction amounts of engineered stone supplied to China Resources Land Group reached approximately RMB185.86 million in 2023, RMB140.22 million in 2024, and RMB23.12 million in the first ten months of 2025. The company states that the arrangements aim to boost supply chain synergy and strengthen the position of its engineered stone business while adhering to established internal control measures to ensure transactions are conducted on fair and reasonable terms.
