The memorandum of understanding contains certain understandings and terms regarding the company's proposed acquisition and the seller's proposed disposal of 60% of the entire issued share capital of the target company, which is a company incorporated in the Republic of Indonesia that holds production and operation mining business licenses for nickel commodities, covering an area of 608 hectares in the Obi Islands located south of Halmahera Island, Indonesia (nickel mine).
