China Electronics Huada Technology Company Limited (“CE Huada Tech”) has appointed Fan Heng as an Independent Non-Executive Director, effective 17 July 2026. He will simultaneously join the Audit Committee and the Remuneration and Nomination Committee.

Fan Heng, aged 64, holds a bachelor’s degree in Microelectronics from Fudan University and a master’s degree in Semiconductor Physics and Device Physics from the Shanghai Institute of Microsystem and Information Technology, Chinese Academy of Sciences. His previous positions include deputy director of the same institute, deputy general manager of Shanghai Huahong Integrated Circuit Co., Ltd., general manager of Shanghai Huahong Jitong Smart System Co., Ltd., and executive vice president of Hua Hong Grace Semiconductor Limited.

Remuneration is set at HK$0.20 million per annum, aligned with other Independent Non-Executive Directors. Fan has no fixed-term service contract and will be subject to retirement by rotation and re-election under the company’s bye-laws and Hong Kong listing rules.

The appointee has confirmed compliance with the independence criteria stipulated in Rule 3.13(1)–(8) of the Listing Rules, has no financial or other interests in CE Huada Tech or its connected persons, and holds no shares in the company.

Following this appointment, the board comprises: • Non-Executive Directors: Sun Jie (Chairman), Qin Wei • Executive Directors: Chang Feng (Deputy Chairman and Managing Director), Wang Jian • Independent Non-Executive Directors: Qiu Hongsheng, Chow Chan Lum, Huang Yaping, Fan Heng

The company stated that no additional information is required to be disclosed under Rule 13.51(2) of the Listing Rules, and no matters need to be brought to shareholders’ attention regarding this appointment.
