JIADING INTL GP (08153) will hold a Special General Meeting (SGM) on 24 March 2026 at 11:00 a.m., at Conference room, 9/F, 33 Des Voeux Road Central, Central, Hong Kong. Shareholders will consider a proposal to refresh the Existing General Mandate, which was fully utilized following the issuance of new shares under general mandates granted at the 2025 AGM. If approved, up to 20% of the issued shares (excluding treasury shares) as of the SGM date may be allotted and issued. The register of members will be closed from 19 March 2026 to 24 March 2026.
As of the Latest Practicable Date, the company has approximately 34.67 million shares in issue (excluding treasury shares). The proposed refreshment would authorize up to approximately 6.93 million new shares. The board cites the need for fundraising flexibility and to capitalize on market conditions. In addition, shareholders will vote on adopting a new share scheme, which allows awards or options of up to 10% of the company’s issued shares—approximately 3.47 million shares—as of the adoption date. Concurrently, the existing share option scheme will be terminated, with no outstanding options granted under that scheme.
According to the circular, there is no controlling shareholder who must abstain from voting in favor of granting the new mandate. If approved, the mandate will remain effective until the conclusion of the next annual general meeting or until revoked/varied by shareholders.
