Zijin Mining Group Co., Ltd. has issued the proxy form and agenda for its Annual General Meeting covering the year ended 31 December 2025. The meeting will be held at 9:00 a.m. on 5 June 2026 in the conference room on the 21st floor of Zijin Headquarters, No. 1 Zijin Road, Shanghang County, Fujian Province, PRC. H-shareholders must lodge proxy forms with Computershare Hong Kong Investor Services by 9:00 a.m. on 4 June 2026.

Key resolutions to be put to vote:

1. Operating Review • Approval of the Board of Directors’ 2025 report. • Adoption of the 2025 annual report and its summary.

2. Profit Allocation Framework • Ratification of the 2025 profit distribution proposal. • Authorisation for the Board to devise an interim distribution plan for the six months ending 30 June 2026. • Endorsement of a Profit Distribution and Return Plan covering 2026–2028.

3. Governance and Remuneration • Approval of remuneration for executive directors and the chairman of the Supervisory Committee for 2025. • Reappointment of the external auditor for the 2026 financial year.

4. Risk Management and Guarantees • Approval of the 2026 guarantee plan. • Approval for subsidiaries to undertake futures and derivative trading.

5. Capital Raising Authorities • General mandate to issue debt-financing instruments. • General mandate granting the Board authority to issue A-shares and/or H-shares.

6. Employee Incentives • Adoption of the draft Employee Stock Ownership Scheme (ESOS) for 2026 and its summary. • Implementation policy for the 2026 ESOS. • Authorisation for the Board to handle all matters related to the 2026 ESOS.

Shareholders may vote FOR, AGAINST or ABSTAIN on each resolution; blank or unspecified votes will be cast at the proxy’s discretion. Completion of the proxy form does not preclude shareholders from attending and voting in person at the AGM.
