Sichuan Expressway Company Limited will convene an extraordinary general meeting (EGM) at 15:00 on 29 April 2026 in Chengdu to decide on director remuneration schemes and elect the full slate of the Company’s ninth-session board.
Key agenda items 1. Remuneration plans • Executive directors, non-executive directors and independent non-executive directors will each have separate compensation packages submitted for shareholder approval by ordinary resolution.
2. Board elections (cumulative voting) • Seven candidates are nominated for executive and non-executive director roles: Luo Zuyi, You Zhiming, Ou Hailong, Yao Jiancheng, Mao Yurong, Nie Yibin and Li Chengyong. • Four candidates are nominated for independent non-executive director positions: Yu Haizong, Zhou Hua, Jiang Tao and Luo Hong. • Each shareholder’s voting rights will be multiplied by the number of seats to be filled—seven for non-independent directors and four for independent directors—allowing allocation of votes among nominees at the shareholder’s discretion.
Share registration timeline • H-share register closure: 24–29 April 2026 (both days inclusive). • Last day to lodge share transfers: 23 April 2026 by 16:30 at Computershare Hong Kong Investor Services Limited. • Only holders registered by the close of 24 April 2026 may attend or vote by proxy.
Proxy and poll arrangements • Proxy forms, together with any power of attorney, must be deposited at Computershare no later than 24 hours before the meeting or before any adjourned session. • All resolutions will be decided by poll; director elections will adopt cumulative voting, while remuneration resolutions will use standard open-ballot, non-cumulative voting.
Logistics The EGM is expected to conclude within one day. Attendees bear their own travel and accommodation costs.
