Graphex Group Secures Unanimous Shareholder Approval to Redomicile from Cayman Islands to Hong Kong

Graphex Group Limited announced that shareholders overwhelmingly endorsed its proposed change of domicile from the Cayman Islands to Hong Kong at an Extraordinary General Meeting (EGM) held on 4 September 2026.

The single special resolution, which also included the adoption of a new set of articles of association contingent on the redomiciliation, received 211.83 million votes in favour, representing 100.00% of votes cast. No votes were recorded against the motion. As the affirmative tally comfortably surpassed the 75% threshold required for a special resolution, the proposal was duly passed.

The company had 941.31 million issued ordinary shares eligible to vote at the EGM, and there were no restrictions or compulsory abstentions under Hong Kong Listing Rule 13.40. Additionally, no shareholders had signalled any intention to oppose or abstain prior to the meeting.

Completion of the redomiciliation remains subject to the receipt of all necessary governmental and regulatory consents and the issuance of a certificate of re-domiciliation by the Hong Kong Companies Registry. Upon effectiveness, the new Hong Kong-based articles of association will replace the existing Cayman Islands memorandum and articles.

Tricor Investor Services Limited acted as the independent scrutineer for the poll. Directors Mr. Lau Hing Tat Patrick, Mr. Chan Yick Yan Andross, Mr. Qiu Bin and Mr. Liu Kwong Sang attended the meeting in person or via electronic means.
