The circular outlines four key framework agreements effective January 1, 2026, encompassing technology and traffic services, JD sales, marketing services, and supply chain solutions and logistics.

According to the circular, the Extraordinary General Meeting (EGM) will be held on December 8, 2025, at 10:30 a.m. in Beijing. Shareholders will consider and vote on proposals covering the 2026 Technology and Traffic Support Services Framework Agreement, the 2026 JD Sales Framework Agreement, the 2026 Marketing Services Framework Agreement, and the 2026 Supply Chain Solutions and Logistics Services Framework Agreement. These agreements are aimed at continuing collaboration with JD.com in areas such as platform traffic support, large-scale corporate procurement, marketing solutions, and comprehensive logistics services.

The Board recommends that independent shareholders vote in favor of the resolutions at the EGM. JD.com and its associates, holding a controlling stake, will abstain from voting on these related resolutions. Shareholders intending to attend the EGM must lodge transfer documents by December 2, 2025.
