Wai Chun Biotech Lifts Issued Share Count to 345.14 Million after HK$10 Million CB Conversion

For the month ended 30 April 2026, Wai Chun Bio-Technology Limited reported a 93.4% jump in its ordinary share count following the partial conversion of outstanding convertible bonds (CBs).

Issued Capital Movement • Ordinary shares in issue rose by 166.67 million to 345.14 million, up from 178.48 million at the end of March. • No treasury shares were held before or after the period.

Conversion Details • HK$10.00 million of the HK$67.00 million 6 cent CB tranche (approved 25 November 2020, maturing 31 December 2027) was converted during April. • The conversion price was HK$0.06 per share, resulting in the issuance of 166.67 million new ordinary shares. • Post-conversion, the outstanding principal on this tranche decreased to HK$57.00 million. • Three additional CB tranches, aggregating HK$47.40 million, remained unchanged and convertible into up to 754.29 million ordinary shares.

Share Option Scheme • The 22 July 2015 option scheme showed no activity. Outstanding options stood at 15.95 million, with no exercises during the month.

Authorised Share Capital • Authorised capital was unchanged at 10.00 billion ordinary shares and 204.00 million convertible preference shares, each with a par value of HK$0.01, maintaining aggregate authorised capital of HK$102.04 million.

Public Float • The company confirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public float requirement as at 30 April 2026.

No warrants, HDRs, share repurchases, or other equity-linked issuances were reported during the month.
