CLP Holdings (CLP) Updates Nomination Committee Framework

CLP Holdings has released an updated Nomination Committee framework, effective 1 January 2025, detailing its functions, authority, and core responsibilities. The Committee is charged with ensuring independence and quality when recommending new directors, overseeing board structure and composition, and reviewing the Board’s performance, timing commitments, and diversity. It also evaluates and nominates qualified individuals for Board vacancies and plays a crucial role in succession planning for key leadership positions. Under the new framework, the Committee is authorized to identify candidates through intermediary agencies, interview nominees, and obtain independent professional advice when required. The company deems the criteria for these responsibilities to be its formal Nomination Policy.

From 27 February 2026, the Committee is comprised of four members: Chairman Mr. Nicholas Charles Allen (Independent Non-executive Director), The Honourable Sir Michael Kadoorie (Chairman of the Board), Ms. May Siew Boi Tan (Independent Non-executive Director), and Mr. Chan Bernard Charnwut (Independent Non-executive Director). The Committee’s meetings and proceedings adhere to CLP Holdings’ internal governance code, with all sessions formally recorded and shared among its members. This structure is intended to sustain transparent and robust oversight of the Board’s operations, composition, and ongoing professional development.
