BBSB International: AGM Endorses Full Board, Renews BDO, and Grants 10% Buy-Back & 20% Issuance Mandates

BBSB International Limited convened its Annual General Meeting (AGM) on 30 June 2026 in Petaling Jaya, Malaysia, with 378.61 million shares—or 75.72% of the 500.00 million issued shares—voted by poll.

All six ordinary resolutions secured 100.00% support:

1. Approval of the audited financial statements and directors’ and auditors’ reports for the financial year ended 31 December 2025.

2. Re-election of Executive Directors Datuk Tan Chin Nyan, Mr Tan Tze Tung and Ms Tan Xin Yi, along with Independent Non-executive Directors Mr Lee Tuan Meng, Mr Ooi Kim Chai and Ms Norkamaliah Binti Hashim. The Board was also authorised to determine director remuneration.

3. Re-appointment of BDO Limited as external auditor, with the Board authorised to fix its remuneration.

4. Grant of a general mandate allowing the Board to repurchase up to 10% of the Company’s issued shares (excluding treasury shares).

5. Grant of a general mandate permitting the Board to allot, issue and deal with additional shares—whether new issues or transfers of treasury shares—up to 20% of the issued share capital.

6. Extension of the issuance mandate by the number of shares repurchased under the buy-back mandate.

No shareholders were required to abstain from voting, no treasury shares were outstanding, and no shares were pending cancellation. Boardroom Share Registrars (HK) Limited acted as the independent scrutineer. All directors attended the AGM, with Ms Tan Xin Yi joining electronically.

These approvals provide BBSB International with renewed flexibility over capital management and affirm continuing confidence in the existing board and auditor.
