Ausnutria Dairy Corporation Ltd. (Ausnutria) released supplemental information on 12 June 2026 outlining the pricing policies and annual-cap methodologies for three continuing connected transactions originally announced on 27 April 2026:
1. Logistics Service Framework Agreement with Yishun Group • Pricing is set through a competitive tender involving Yishun and three independent logistics providers, with evaluations based on price, service quality, technical capability and operational synergy. • Fees reference labour, fuel and administrative costs, and must be no less favourable than market terms offered by independent providers. • Annual caps are derived from historical logistics spending (year-end 2025 and 1Q 2026), expected cost inflation—particularly fuel—and a 10 % buffer for unforeseen demand spikes. • Logistics services only became a connected transaction in 2H 2025; amounts to date have remained below the Listing Rule 14A.76 de minimis threshold.
2. Contract Manufacturing Framework Agreement with Yili Industrial Group • Manufacturing fees are based on all attributable costs—raw materials, direct labour, overheads, utilities, equipment depreciation and quality control—plus a profit margin comparable to that charged to independent customers for similar products. • The 2026 annual cap is anchored to Yili Industrial’s confirmed demand of at least HK$56.00 million; a one-off buffer exceeding 30 % covers potential ad-hoc orders due to product uniqueness. • For 2027 and 2028, a 20 % growth buffer mirrors Yili Industrial’s adult goat-milk powder revenue growth (over 20 % in 2025) to accommodate incremental orders.
3. 2026 Probiotics Supply Framework Agreement • Prices are negotiated at arm’s length. For certain probiotics powders, pricing references two comparable local, national or international industry quotes to ensure terms are no less favourable than market levels. • For tailor-made probiotics where direct market comparisons are unavailable, prices reflect relevant production costs plus a profit margin at least comparable to that of two other similar Ausnutria products.
All other details in the 27 April 2026 announcement remain unchanged.
