Seazen Group Limited (SEAZEN, 01030) disclosed that on 6 March 2026, Seazen Holdings Group Co., Ltd. (Seazen Holdings, SSE: 601155) initiated the application for public issuance of commercial property real estate investment trusts (Commercial REITs). According to the announcement, the objective is to enhance Seazen Holdings’ real estate operations, optimize its capital structure, and bolster core competitiveness and sustainable development.
Seazen Holdings intends to spin off two projects as the underlying assets of the Commercial REITs. The first project is held by Changzhou Xincheng Hongxing Commercial Operation and Management Co., Ltd., which manages the Changzhou Tianning Wuyue Plaza Project in Tianning District, Changzhou City. The second project is held by Qidong Yuebo Commercial Operation and Management Co., Ltd., which manages the Nantong Qidong Wuyue Plaza Project in Huilong Town, Qidong City.
Wuyue Shunrui (Shanghai) Commercial Operation Management Co., Ltd., a subsidiary of Seazen Holdings, has submitted applications for these projects to the China Securities Regulatory Commission (CSRC) and the Shanghai Stock Exchange (SSE). After approval, the Commercial REITs will acquire the corresponding project company equities through a special purpose vehicle (SPV) structure, with the new Commercial REIT units to be listed on the SSE. Seazen Holdings or its subsidiaries plan to subscribe for not less than 34% of the offering units during the strategic placement phase.
The timeline for the Proposed Spin-off remains subject to approval by The Stock Exchange of Hong Kong Limited, the SSE, and the CSRC. If approved, it may constitute a notifiable transaction under Chapter 14 of the Listing Rules. Further announcements will be published as regulations require. The issuance of Commercial REITs is intended to broaden financing channels, revitalize existing assets, and promote efficient asset operations.
