Meilan Airport (00357 HK) Schedules 22 Apr 2026 EGM to Appoint Four Directors and Abolish Supervisory Committee

Hainan Meilan International Airport Company Limited has issued a circular convening an extraordinary general meeting (EGM) for 22 April 2026 in Haikou. Shareholders will vote on a slate of corporate-governance changes and board appointments.

Key matters up for ordinary resolution include:

• Appointment of President Qiu Guoliang as an executive director, and election of three non-executive directors—Xiang Xiujin, Ya Zhihui and Zhou Peng. If approved, all four will serve until the end of the ninth board session. Qiu will draw no director’s fee but will continue to receive executive remuneration; the three non-executives have waived director’s fees.

Shareholders will also be asked to pass special resolutions that would reshape the company’s governance architecture:

• Cancellation of the Supervisory Committee in line with the revised PRC Company Law; its statutory oversight duties will transfer to the board’s Audit Committee once amendments take effect. • Corresponding revisions to the Articles of Association and the rules governing shareholder meetings and board procedures.

The company’s register will close from 2–22 April 2026, with 1 April 2026 set as the last day for share transfers. Holders of record on 2 April are entitled to attend and vote; proxy forms must be lodged at Computershare Hong Kong Investor Services no later than 24 hours before the meeting.

All resolutions will be decided by poll and results released through the Hong Kong Stock Exchange after the meeting.
