Wanjia Group Holdings Limited (stock code: 00401) has announced the preliminary outcome of its 1-for-1 Rights Issue detailed in the prospectus dated 26 February 2026.

• Offer size and structure: 560.22 million Rights Shares were available, equivalent to the number of issued shares on the 26 February 2026 record date.

• Subscription result: By the 12 March 2026 deadline, the company received seven valid applications for 302.62 million Rights Shares, representing 54.02% of the total offer.

• Under-subscription: 257.60 million Rights Shares (45.98% of the offer) remain unsubscribed.

• Compensatory arrangements: In accordance with Listing Rule 7.21(1)(b) and the placing agreement signed on 30 December 2025, the unsubscribed shares will be offered to independent placees on a best-efforts basis between 20 March and 25 March 2026. Any premium over the subscription price realised from this placing—the “Net Gain”—will be distributed pro rata to shareholders who did not take up their entitlements, provided an individual’s entitlement equals or exceeds HKD100; amounts below this threshold will be retained by the company.

• Next steps: A further announcement on 31 March 2026 will disclose final placing results and the Net Gain per unsubscribed share, if any. Unplaced shares after the compensatory period will not be issued, reducing the final size of the Rights Issue accordingly.
