ENN Energy: Morgan Stanley Discloses USD 0.44 Million Derivative Purchases Amid Privatisation Scheme

Hong Kong, 12 June 2026—Under Rule 22 of the Hong Kong Code on Takeovers and Mergers, Morgan Stanley & Co. International plc, classified as a Class (5) associate of the offeror in the proposed privatisation of ENN Energy Holdings Limited by way of scheme of arrangement, reported multiple derivative transactions executed on 11 June 2026.

Seven unsolicited client-facilitation purchases were completed, covering a total notional 8,900 reference securities at prices ranging from USD 49.29 to USD 49.62 per share. Aggregate consideration for these purchases reached USD 440,584.33.

One derivative sale, also for client facilitation, involved 100 reference securities at USD 49.26 per share, generating proceeds of USD 4,925.99.

Net of the sale, Morgan Stanley’s activity resulted in a cumulative purchase of 8,800 reference securities for approximately USD 435,658.34. Each trade was booked for the firm’s own account, and the resultant position in ENN Energy-related derivatives was disclosed as nil, indicating that no outstanding exposure remained after the transactions.

Morgan Stanley & Co. International plc is ultimately owned by Morgan Stanley. All dealings form part of the disclosure requirements linked to the ongoing privatisation process of ENN Energy.
