Arcadium Lithium (ASX:LTM) disclosed Monday that certain shareholders have filed three complaints before the Supreme Court of the State of New York relating to the planned takeover deal with mining giant Rio Tinto (ASX:RIO).
In a US bourse filing, Arcadium Lithium said the complaints include "allegations of negligent misrepresentation, concealment and negligence," as well as "violations of securities law and breaches of fiduciary duties." It noted that the complainants have sent 19 demand letters containing similar allegations.
The company said the claims "are without merit, and that no further disclosure is required under applicable law."
It noted that the scheme meeting in relation to Rio Tinto's takeover offer will go ahead as planned on Dec. 23.
