Hainan Airport Infrastructure (SHA:600515) plans to acquire a 50.19% stake in Hainan Meilan International Airport (HKG:0357) from its affiliate, Haikou Meilan International Airport, for 2.34 billion yuan, or 9.85 yuan per share.

The deal, pending regulatory and shareholder approvals, aims to consolidate Hainan Free Trade Port's key aviation assets, according to a filing with the Shanghai bourse.

Post-acquisition, Hainan Airport Infrastructure will launch a mandatory general offer for Hainan Meilan International Airport's remaining shares at 9.85 yuan apiece to maintain its Hong Kong listing.
