Nippon Telegraph And Telephone (TYO:9432) is acquiring an 8.18% stake in SBI Holdings (TYO:8473) through a 110.8 billion yen third-party allotment, as part as their capital and business alliance.
The acquisition of 27 million shares at 4,102 yen per share paves the way for collaboration in fintech, digital banking, and Web3, according to their bourse filings on Thursday.
NTT's subsidiary, NTT Docomo, will also acquire SBI Sumishin Net Bank (TYO:7163) via a tender offer to strengthen digital financial services.
SBI Holdings will use the proceeds to expand its financial services, including securities and overseas banking, with repayment flexibility for bonds due by 2027.
The alliance between NTT Docomo and SBI Sumishin Net Bank includes joint ventures in asset management, security tokens, and insurance, alongside system development by NTT DATA.
SBI Holdings will record a 142.4 billion yen consolidated gain from selling its 34.19% stake in SBI Sumishin Net Bank to NTT Docomo.
The transaction is set for completion by October 2025, pending regulatory approvals and tender offer settlement.
