Solowin Holdings Ltd. has entered into a securities purchase agreement with individual investors to issue 20 million Class A Ordinary Shares at a par value of $0.0001 per share. The agreement also includes warrants for purchasing up to an additional 1 million Class A Ordinary Shares. This registered direct offering, conducted through the company's effective shelf registration statement, is expected to generate gross proceeds of $6.6 million, excluding any additional proceeds from the exercise of the warrants. The warrants, exercisable for cash immediately after issuance, have a three-year term and an exercise price of $0.363.
